Reference is made to the announcements in relation to the Company’s Proposed Land Acquisition dated 3 June 2021, 2 December 2021, 28 February 2022, 28 April 2022, 30 June 2022 and 4 July 2022 (“Earlier Announcements”) and the Circular dated 10 September 2021. Unless otherwise stated, defined terms in this announcement shall carry the same meanings as defined in the Earlier Announcements and the Circular.

On behalf of the Board, AmInvestment Bank wishes to announce that the Company had on 21 November 2022 received a letter dated 16 November 2022 from the Economic Planning Unit of the Prime Minister’s Department approving the Proposed Land Acquisition. Accordingly, all the Conditions Precedent on the part of the Purchasers have been fulfilled.

In addition, the Company had on 22 November 2022 received a letter dated 22 November 2022 from the Vendor’s solicitors confirming that all the Conditions Precedent on the part of the Vendor have been fulfilled and the SPA has become unconditional on 21 November 2022.
